DAO Organization and Operations and Governance
DAOs are Decentralized and Member-governed
Alxndria DAO builds on members' shared interests managed through open and secure software that will help in the DAO’s governance. As we experiment with day-to-day operations, we should always consider:
Is our operation following the mission and vision of Alxndria DAO?
Is the solution repeatable and should it be coded into our processes, smart contracts, and/or software?
Effective Date
The Effective Date is the date of the genesis distribution of the DAO governance tokens.
This Charter will come into effect on the Effective Date.
Seasons
Seasons are a defined time period of DAO operations.
There are 2 Seasons per approximately 365 days.
Seasons must be consecutive without a gap in dates unless otherwise decided by the Governance Committee.
Season 1 is from the Effective Date of this Charter until the last day of the month following the six-month anniversary of the Effective Date.
The following Season starts at midnight (UTC) the day after the end of the previous Season.
The Governance Committee sets the Season dates not prescribed in this Charter.
Branding
The DAO shall use the Open Book emoji 📖 as its branded emoji. “Alxndria”, or “Alxndria DAO”, “AlxndriaDAO” as typeset are acceptable. Use of the DAO branding requires the DAO’s approval.
For example, you cannot use the DAO’s branding in a way that implies that the DAO supports another project without the approval of the DAO or approval from a Permanent Committee.
Committees, Sub-Committees, and Team
The Permanent Committees, also known as Committees
To aid the operations of the DAO and to safeguard its integrity and assets, the DAO will establish a minimum of three (3) Permanent Committees.
The three Permanent Committees are:
Governance Committee
Programs Committee
Treasury Committee
Each Committee will be staffed with a minimum of three (3) Members.
To ensure a separation of powers, no Member may serve on more than one committee in the same Season.
Each Committee is responsible for proposing a budget of tokens for their Committee for the Season.
This budget request may be sent to the Treasury Committee to create a Proposal.
Each Committee may create their own Proposal for Season funding in lieu of being a part of the seasonal Treasury budget process.
Every Sub-Committee and Team must report to Permanent Committee to ensure accountability.
A committee member may serve under a subcommittee of the same committee, but cannot serve in the subcommittee of another committee.
A term is a Season or the remainder of a Season.
Replacement of Committee Members
If one or more members of a Permanent Committee resigns or is removed for any reason, the remaining Committee member or members may chose to:
Appoint a replacement member to fill the remainder of the term, or
Hold an election to fill that seat for the remainder of the term.
The DAO, by Proposal, may vote to leave the seat empty for the remainder of the term.
Each Committee is responsible for proposing a budget for the Season and distributing it to the Sub-Committees and Teams that report to it.
Sub-Committees
All Permanent Committees, at their discretion, may form or disband a Sub-Committee.
All Sub-Committees must report to a Committee for oversight.
A Sub-Committee may also be created by Proposal, but it must report to a Committee for oversight.
For a Sub-Committee created by Proposal, a Committee overseeing such a Sub-Committee may disband it only after a minimum of one (1) Season’s equivalent of days have elapsed since the passing of such Proposal.
A Permanent Committee may delegate its duties to its Sub-Committees.
A Sub-Committee is made up of one or more Members of the DAO.
All positions in Sub-Committees are appointed by the Committee that oversees it.
Any Sub-Committee member may be removed by the overseeing Committee.
A Sub-Committee may not have a separate multisig for its operations. If a Sub-Committee requires their own multisig, it must be converted to a Team.
Teams
Any group of members may form a Team at any time.
A Team must choose a Permanent Committee to report to.
A Team must have its own multisig with at least 2 signer threshold of 3 signatories.
If the Team does not have enough signatories, they may recruit DAO members not on the Team as signatories.
A member may belong to many Teams or Sub-Committees.
A member may belong to a Committee and Teams.
Unlike Permanent Committees, Teams are impermanent.
Funding a Team requires either:
A Proposal to pass, or
A Committee to allocate a portion of the Committee’s own budget.
Disbanding any team can be done by the Team, or by DAO-wide vote.
A Committee may not force a Team to disband.
However, funding for the Team is at the discretion of the DAO by Proposal and/or Committee.
Teams are responsible for setting their own rules and processes for decision-making or compensation of Team members.
Teams are free to decide their own organizational structure, membership requirements, or removal process.
Teams may include non-members.
A Team may be also called a Sub-DAO if the team issues their own governance tokens and adapts a form of this Charter.
Governance Committee
The Governance Committee:
Builds trust between its members and between the DAO and other entities.
Ensures the integrity of the Charter, proposals process, voting, and discussion.
Resolves any conflict of interest, rules on ethical questions, and disagreements.
Is responsible for the structure and maintenance of the DAOs legal entities.
Conducts elections for all Permanent Committee seats each Season.
Keeps this Charter up-to-date when proposals require the amendment of this Charter.
All changes to this Charter must be passed through the Proposal process.
Treasury Committee
The Treasury Committee:
Will seek to safeguards the DAO’s assets.
Distributes tokens according to the will of the DAO membership through the proposal processes.
Manages the DAO’s finances.
The Treasury Committee members are required to be on the key DAO multisig wallet(s).
Prior to the end of the current season, the The Treasury Committee is responsible for proposing a budget — the allocation of a pool of tokens to all Permanent Committees — for the current season and/or subsequent seasons.
It is the Treasury Committee’s responsibility to propose the minting of new DAO tokens beyond the current limit of 100 million tokens.
Programs Committee
The Programs Committee:
Oversees the creation and maintenance of software, tools, and documents.
Is responsible for any projects that fall outside the responsibilities of the Governance and Treasury Committees.
Oversees the growth of the DAO’s membership and capabilities through direct development of programs and partnerships.
Is responsible for maintaining the DAOs membership information, managing use of the DAO branding, and processes and safeguarding information.
Election of the Committee Members
Upon the Effective Date of the Charter, the Members of each Committee will be voted upon by the membership.
While there is no current limit to the term of any member on a Committee or Sub-Committee, the DAO may set a term limit on any position in the DAO by proposal.
Elections should be concluded prior to the start of the Season in which the results will come into effect.
If elections are not concluded, the end of the current Season is automatically extended until concluded.
Impeachment of a Committee Member
To remove a Permanent Committee member from their Committee role, 50% or more of the three Permanent Committees members must agree to the removal.
The Permanent Committee member being considered for removal cannot vote in this decision.
Impeachment from a Permanent Committee does not remove the member from the DAO.
Power to Form Teams and Subcommittee
Any permanent committee may form subcommittees to distribute its committee work. It may appoint and remove other DAO members to these subcommittees as needed.
Teams are ad-hoc groups of DAO members who are responsible for executing a proposal for a specific period of time.
Teams of members may be allocated a budget of tokens from the DAO treasury in pursuit of DAO objectives.
Teams are impermanent and their funding requires approval from one or more Committees or the passing of a Proposal.
