Member Privileges and Obligations
Like in a cooperative, members have the privilege to enjoy rewards. In return, they share responsibilities toward achieving a common goal.
Membership Requirements
Alxndria DAO requires high member participation to be successful; it is not for spectators, therefore we as Members:
Participate in the discussion, creation, voting and documentation of proposals.
Make friction, tension and inefficiencies known to all DAO members, so that changes, improvements and learning can take place.
Monitor and record progress, and use it for the creation of metrics to measure DAO health.
By joining the DAO, you agree to:
Abide by this Charter,
Share the values of the Code of Ethics,
Act in accordance with the Code of Conduct,
Participate in the official communications channels on a regular basis.
Act in the best interest of the DAO and its members.
Membership
Alxndria DAO is open to:
Field experts (builders, founders and specialists), research analysts and DAO operators
Example:
Founders and executives of notable crypto companies;
Leading analysts covering specific areas of the crypto economy;
DAO operators who act as community managers for Alxndria DAO
And others as authorized by the DAO.
Founders and staff of Origami, Inc. who are providing services to the DAO.
Alxndria DAO operations are coordinated by teams of elected members who serve on the Governance, Treasury, and Programs Committees that serve the DAO.
A Member is required to mint a DAO Membership NFT that serves as proof of DAO membership.
The DAO may gate access to DAO spaces and services — physical and digital — using the DAO Membership NFT and/or governance tokens.
The implementation of such token-gating is the responsibility of the Programs Committee.
The wallet containing the DAO Membership NFT is eligible to vote using the governance tokens in the same wallet.
An EVM-compatible wallet with the same address across different chains is considered the same wallet as long as the Member has control over the wallets.
The DAO Membership NFT may not be transferred without Program Committee authorization, unless allowed by Proposal.
DAO Health
Alxndria DAO will measure its health in the following ways:
Members are participating.
Membership is growing.
The DAO is working to fulfill its Mission and Vision.
Startups are supported by the DAO and its members.
The DAO financially supports its own operations.
Documents and codes are created, amended, and published as lessons are learned.
Removal of Members
Members may be removed from membership in the DAO by Governance Committee vote for violating this Charter, the Code of Conduct or Code of Ethics.
Removal of membership is defined as the exclusion of the member from DAO spaces, processes, and tools.
If the removed member has been asked to give up their DAO tokens but refuses to do so, the DAO may deploy software updates to exclude that Member.
Removed Members are no longer Members in Good Standing.
The DAO shall burn or invalidate the DAO Membership NFT of a Removed Member.
Proposal for Repeal of Removal
If a member is removed, there is a 7-day window where the Removed Member may submit a Proposal for Repeal of Removal.
The Proposal must be sponsored by three (3) or more members in good standing to be put up for DAO-wide vote.
The vote on this Proposal will follow the normal proposal DAO-wide voting process.
Resolving Conflicts
Conflicts and disagreements are normal and part of any human endeavor. Members are expected to apply our values in creating and modifying the instruments for conflict resolution. See Resolving Conflict.
Members of the Permanent Committees may ask for clarification regarding this Charter from the founders of Origami, Inc.
The DAO is free to accept or ignore such clarifications.
Taxes and Legal Compliance
Taxes and legal compliance are a Member’s own responsibility.
Nothing published or claimed by the DAO or its members constitutes legal or tax advice.
No Partnership; Limitation on Liability
Each Member agrees that the intent underlying the DAO’s operations is to support future Members and not to carry on a business for profit. For the avoidance of doubt, the DAO is not a partnership, and each Member hereby represents that they are not becoming a Member with the intent to form a partnership or to join a partnership as a partner. Members further understand and acknowledge that they do not individually have managerial control or authority over the day-to-day operations or the conduct of the business of the DAO.
Each Member further agrees and acknowledges that no individual Member shall be liable for the actions of another Member, and that any and all liabilities arising from actions of the DAO shall be attributed solely to the DAO and not to its individual Members, regardless of whether such liability arose in the ordinary course of the DAO’s business operations. In the event any Member incurs a liability in connection with the activities or business operations of the DAO, no other Member shall be jointly or severally liable by virtue of their status as a Member. No individual Member shall have the authority to bind the DAO absent approval by a vote of DAO Members, and each Member hereby covenants not to hold themselves out as having any such authority absent approval by a vote of DAO Members.
Further, each Member agrees and acknowledges that Members do not owe fiduciary duties to one another or the DAO itself, and that any such fiduciary duties are affirmatively eliminated to the extent any existed to the maximum extent permitted by law.
In addition, each Member acknowledges and agrees that despite the above, a regulatory authority or governmental body may find that the DAO is in fact a partnership if it finds that the DAO is an association of two or more persons formed to carry on a business purpose for profit. Each Member further acknowledges and agrees that, despite the above, if a regulatory or governmental body finds that the DAO is a partnership, it may further find that each member is a partner in such partnership if it finds that members’ governance rights in the DAO are tantamount to managerial control of the DAO.
